REIT Funding, LLC was founded in 1998 to assist companies forming private REITs in the process of obtaining and maintaining sufficient shareholders to meet the 100 shareholder requirement of the Internal Revenue Code for REIT status.
We have performed these services for over 640 REITs with the assistance of our broker dealer, H & L Equities, LLC. We arrange for our broker dealer to sell, in a private placement, a sufficient number of shares of preferred stock for the REITs to be assured of meeting the one hundred shareholder test.
We have experience with many different types of REITs including UBIT blockers, State Tax planning REITs, Bank REITs and foreign currency REITs.
We work with our clients and their attorneys to help assure that all investors qualify as shareholders under the ownership tests of the Internal Revenue Code. We sell only to accredited investors to eliminate SEC filings and have the capability of providing Qualified Purchasers for REITs with '40 Act concerns.
The shareholders we provide are bona fide investors who are acquiring the stock with true investment intent and who are providing real equity. Our services include providing sample documents to our client's attorneys that will make the process of obtaining investors much easier and less expensive. We understand the technical tax issues facing REITs. Charles Harrison was a tax partner with Arthur Andersen, LLP for 25 years where he specialized in real estate taxation and advised on the formation of numerous REITs. We also have a thorough understanding of the securities laws relating to the sale of the REIT shares. Phyllis Beck has over 25 years experience as a Principal in the securities industry.
We also assist on an ongoing basis in dealing with the preferred shareholders. REIT Administration, LLC maintains the shareholder records necessary to properly administer the reporting and compliance needs of the preferred shareholders. We do this through sophisticated software we have developed to store and manage the information pertaining to the REITs and the shareholders.
